Terms of service

These Terms of Service (“Terms”) govern your access to and use of the applications, websites, and services offered by Zuper Apps (“Zuper Apps”, “we”, “us”, or “our”), a brand operated by Amwhiz Media Private Limited. By installing, accessing, or using any Zuper Apps product on the Shopify, HubSpot, or Zoho marketplaces, you agree to be bound by these Terms. If you do not agree, do not use our services.

Eligibility and accounts

You must be at least 18 years old and authorized to act on behalf of your business to use Zuper Apps. You need a valid Shopify, HubSpot, or Zoho account to install and use the corresponding app. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account.

License to use the apps

Subject to these Terms and your payment of applicable fees, we grant you a limited, nonexclusive, nontransferable, revocable license to use our apps for your internal business purposes. You may not sublicense, resell, copy, reverse engineer, or create derivative works from our software except as permitted by law.

Subscriptions and billing

Most Zuper Apps products are offered on a recurring subscription basis. Billing is handled by the marketplace where you installed the app:

• Shopify: charges appear on your Shopify invoice via the Shopify Billing API.
• HubSpot: charges are processed through the HubSpot App Marketplace.
• Zoho: charges are processed through the Zoho Marketplace.

Fees are billed in advance for each billing cycle (monthly or annual, as selected) and renew automatically until cancelled. Some apps offer a free trial; unless cancelled before the trial ends, the subscription converts to paid. All fees are exclusive of applicable taxes, which are added where required. Refunds are governed by our Refund Policy.

Acceptable use

You agree not to:

• Use the services for any unlawful, harmful, or fraudulent purpose
• Send spam or violate antispam, privacy, or marketing laws
• Attempt to gain unauthorized access to our systems or other users’ data
• Interfere with, disrupt, or overload the service or its infrastructure
• Introduce malware or malicious code
• Use the service to build a competing product or to scrape our data.

Your data and responsibilities

You retain ownership of the data you and your customers submit through our apps (“Customer Data”). You grant us a limited license to process Customer Data solely to provide and support the service, as described in our Privacy Policy. You are responsible for obtaining any consents required from your own customers and for ensuring your use of the apps complies with applicable law and each platform’s policies.

Third party platforms

Our apps operate on and integrate with Shopify, HubSpot, Zoho, and other third party services. Your use of those platforms is governed by their own terms. We are not responsible for the availability, changes, or actions of third party platforms, and we may modify or discontinue an integration if a platform changes its APIs or policies.

Intellectual property

All rights, title, and interest in the Zuper Apps software, branding, documentation, and content (excluding Customer Data) are and remain the exclusive property of Amwhiz Media Private Limited and its licensors. These Terms do not grant you any rights to our trademarks or logos without prior written permission.

Service availability and support

We aim to provide reliable, continuous service but do not guarantee uninterrupted availability. We may perform maintenance, updates, or improvements that temporarily affect access. Support is provided by email at hello@zuperapps.com during business hours.

Suspension and termination

You may stop using the service and cancel at any time by uninstalling the app. We may suspend or terminate your access if you breach these Terms, fail to pay fees, or use the service in a way that risks harm to us, other users, or third parties. Upon termination, your license ends and we handle your data in accordance with our Privacy Policy.

Disclaimers

The services are provided “as is” and “as available” without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and noninfringement. We do not warrant that the service will be error free, secure, or meet your specific requirements.

Limitation of liability

To the maximum extent permitted by law, Amwhiz Media Private Limited and Zuper Apps will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, data, or goodwill. Our total aggregate liability arising out of or relating to the services will not exceed the amount you paid to us for the applicable app during the twelve (12) months preceding the event giving rise to the claim.

Indemnification

You agree to indemnify and hold harmless Amwhiz Media Private Limited, its affiliates, and their officers, employees, and agents from any claims, damages, liabilities, and expenses arising out of your use of the services, your Customer Data, or your breach of these Terms.

Governing law and disputes

These Terms are governed by and construed in accordance with the laws of India, without regard to conflict of law principles. Subject to any mandatory consumer protection rights in your jurisdiction, the courts of Chennai, Tamil Nadu, India will have exclusive jurisdiction over any dispute arising out of or in connection with these Terms.

Changes to these terms

We may update these Terms from time to time. When we make material changes, we will update the “Last updated” date and notify you where appropriate. Your continued use of the services after changes take effect constitutes acceptance of the revised Terms.

Who can use Zuper Apps?

These Terms are governed by the laws of India, with disputes subject to the exclusive jurisdiction of the courts of Chennai, Tamil Nadu.
